To use the Service, you must be at least 18 years old and represent a legitimate nonprofit organization, charity, educational institution, or authorized representative thereof. You represent and warrant that:

  • You have the legal authority to enter into this agreement on behalf of your organization
  • Your organization is a registered nonprofit, charity, or educational institution
  • All information provided during registration is accurate, complete, and current
  • You will comply with all applicable laws and regulations in your use of the Service

2.2 Account Registration

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information during the registration process
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities conducted through your account

2.3 Account Termination

CharityAI reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: violation of these Terms, fraudulent activity, misuse of the Service, or failure to maintain payment obligations. Upon termination, your right to use the Service immediately ceases.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes:

  • Harassment and Abuse: Engaging in any form of harassment, bullying, intimidation, or threatening behavior toward other users or CharityAI staff
  • Illegal Activities: Using the Service to conduct, promote, or facilitate any illegal activity or violation of any applicable law or regulation
  • Unauthorized Access: Attempting to gain unauthorized access to the Service, other user accounts, or CharityAI systems

4. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CHARITYAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CharityAI does not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We do not guarantee the accuracy, completeness, or reliability of any content, information, or services provided through the Service.

4.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHARITYAI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF CHARITYAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to CharityAI in the twelve (12) months preceding the claim, or $100, whichever is greater.

4.3 Assumption of Risk

Your use of the Service is at your sole risk. You assume full responsibility for any harm or damage resulting from your use of the Service, including but not limited to data loss, system failure, or service interruption. CharityAI shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, or government action.

5. Intellectual Property Rights

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, images, software, and code, are the exclusive property of CharityAI or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your organization's internal purposes only. This license does not include the right to:

  • Modify or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Sell, transfer, or sublicense the Service to third parties
  • Remove or alter any proprietary notices or labels

6. Payment Terms

6.1 Fees and Billing

You agree to pay all fees and charges associated with your use of the Service as specified in your subscription plan. Fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are exclusive of applicable taxes, which you are responsible for paying.

6.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You authorize CharityAI to charge your payment method for renewal fees. You may cancel your subscription at any time through your account settings or by contacting our support team.

6.3 Refunds

Except as required by law, all fees paid are non-refundable. CharityAI may offer refunds or credits at its sole discretion. If you believe you are entitled to a refund, please contact our support team within 30 days of the charge.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and protection of your personal information and organizational data.

You retain ownership of all data you upload to the Service ("Your Data"). By uploading Your Data to the Service, you grant CharityAI a worldwide, non-exclusive license to use, process, and store Your Data for the purpose of providing the Service to you. CharityAI will not sell, share, or disclose Your Data to third parties except as required by law or as specified in our Privacy Policy.

You are responsible for maintaining backups of Your Data. CharityAI is not responsible for any loss, corruption, or deletion of Your Data. Upon termination of your account, CharityAI will delete Your Data within 30 days, except as required by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless CharityAI, its directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Any content or data you upload to the Service

9. Governing Law and Dispute Resolution

These Terms and your use of the Service are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the United States for the resolution of any disputes.

9.2 Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute with CharityAI through good-faith negotiation. If negotiation fails, you agree to submit the dispute to binding arbitration administered by a mutually agreed-upon arbitrator. Arbitration shall take place in the United States and shall be conducted in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

CharityAI reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or by sending you an email notification. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. It is your responsibility to review these Terms periodically for updates.

11. Severability
